Dear Sir
Now I use Remote Desktop Connection for admin my windows 2003 server. I
would like to disable Shut Down menu for protect shut down server. How should
I do?

You can remove the Shutdown option from the Start Menu with a Group
Policy.
User Configuration\Administrative Templates\Start Menu & Taskbar
"Disable and remove the Shut Down command"

Note that this is only a cosmetic change. Normal users will *not* be
able to actually shutdown the server, even if they see the option,
and Administrators *will* be able to shutdown the server, even if
they don't see the option.

Thank you for your answer. Now I use account Admin for terminal service. How
I set group policy for disable shut down only when admin logon via terminal
service?

I don't think you can do that.
You could (and should!) use loopback processing of the GPO, to
make sure that it only affects logons to the Terminal Server, but
I believe that it will still affect logons directly to the console
as well.

Personally, I think that Administrators should have enough
knowledge to not shutdown a server, not even by mistake.
